AGENT REGISTRATION & REFERRAL FEE AGREEMENT

Thank you for introducing your client, __________________________________________ (“Buyer”), to our Community. D. R. Horton, America’s Builder, (“Developer”) appreciates the opportunity to do business with you (“Referring Agent”). As consideration for introducing Buyer, Developer hereby agrees that Referring Agent is entitled to a referral fee (“Referral Fee”), provided that all of the terms and conditions set forth in this Agent Registration & Referral Fee Agreement (“Agreement”) are fully satisfied. Developer and Referring Agent hereby agree as follows:

1.   Registration Conditions. This Agreement shall have no force and effect unless all of the following “Registration Conditions” are true: (a) “Today’s Date” (above) is Buyer’s first visit to this Community; (b) Buyer has not previously registered with Developer either in person or on Developer’s website, interest list and/or prequalification list; (c) Referring Agent accompanies Buyer on Today’s Date; (d) Referring Agent and Buyer complete this Agreement in its entirety, and submit it to Developer within 48 hours of Today’s Date; (e) Referring Agent holds a current California Real Estate License; and (f) Referring Agent is not employed as a sales agent or broker for a homebuilder.

2.   Term of Registration. Upon satisfying all Registration Conditions, Referring Agent and Buyer will be registered for a period of 60 days from Today’s Date (“Registration Period”). The Registration Period may be extended once, for an additional 60 days from Today’s Date, if Referring Agent and Buyer visit the Community’s sales office together, prior to the expiration of the original Registration Period, and both execute a Registration Period Extension form.

3.   Referral Fee. If and only if Buyer enters into a “Purchase Agreement” with Developer for a home in the Community (“Property”) during the Registration Period and Buyer closes escrow on the Property and Referring Agent holds a current California Real Estate License as of the closing date, then Developer will pay Referring Agent the Referral Fee in effect as of the date that Buyer executed the Purchase Agreement. If Buyer executes a Purchase Agreement today, Developer will pay a Referral Fee of an amount equal to _______% of the purchase price, as stated in Paragraph 4.a of the Purchase Agreement.

      Referring Agent acknowledges and agrees that Developer may change or eliminate the amount of its Referral Fee at any time, in Developer’s sole and absolute discretion. Referring Agent is entitled to a Referral Fee only if a Referral Fee is in effect as of the date Buyer executes a Purchase Agreement, and all of the terms and conditions of this Agreement are fully satisfied.

4.   Payment of Referral Fee. The Referral Fee will be paid to Referring Agent from escrow, generally within seven (7) business days after the close of escrow. If Referring Agent is employed by a real estate brokerage firm (“Broker”), the Referral Fee will be paid to Broker, rather than to Referring Agent. If Referring Agent leaves the employ of Broker prior to payment of a Referral Fee, Referring Agent agrees to look solely to Broker for the payment of the Referral Fee and to indemnify, defend and hold harmless Developer for the payment of the Referral Fee directly to Broker.

5.   No Effect on Purchase Price. The payment of a Referral Fee has no effect on the purchase price for the Property paid by Buyer. The purchase price for the Property for a buyer represented by a real estate agent is the same as the purchase price for a buyer not represented by a real estate agent.

6.   General. This Agreement may be signed in counterparts, each of which shall have the same effect as if it were the original, and all of which shall constitute one Agreement. This Agreement shall be construed and enforced in accordance with California law. This Agreement contains the entire agreement between the parties, and all prior statements and representations, whether oral or written, are superseded by this Agreement. No addition or modification of this Agreement shall be effective unless it is in writing and signed by the Referring Agent, Buyer and Developer.
